Attached is a copy of a Prospectus lodged by Roc Oil Company Limited ( ABN 32 075 965 856) with the Australian Securities and Investments Commission on 2 April 2004 and contains details of the Company's Renounceable Rights Issue of 3 New Shares for every 5 Existing Shares held by Shareholders on the Record Date of , with registered addresses in Australia and New Zealand. It is presented here for information purposes only.

A paper copy of the Prospectus will be despatched to Shareholders eligible to participate in the Rights Issue on 16 April 2004, together with a personalised Entitlement and Acceptance Form. Additional paper copies of the Prospectus are available free of charge from the Company's registered office during normal business hours.

Applications for New Shares can only be made by Shareholders entitled to participate in the Rights Issue by completing and returning the Entitlement and Acceptance Form sent to them together with a cheque for the application monies as detailed in the Prospectus and in accordance with the instructions accompanying the Entitlement and Acceptance Form.

Investors can also acquire Rights to take up New Shares on ASX during the Rights trading period commencing on Tuesday, 6 April 2004 and ending on Friday, 23 April 2004.

Only Shareholders, or persons acquiring Rights from them, with registered addresses in Australia and New Zealand are entitled to participate in the Rights Issue. No action has been taken to register or qualify the Rights or New Shares, or to otherwise permit a public offering of Rights or New Shares, outside Australia and New Zealand.
