Drilling continues at the Mogoi-1 exploration well, East Gobi Basin, Mongolia 1. EXPLORATION
1.1.1 East Gobi Basin, Mongolia (ROC: 50%, carried) At 9.00 am
on 29 May 2002, the Mogoi-1 exploration well was drilling ahead in 8½
inch hole and had reached a depth of 2,210 metres. The programmed depth
of the well is 2,980 metres. ROC is being carried through the costs of
the well by the Chinese company which is farming in and managing the well

on 22 May 2002, the Mogoi-1 exploration well was drilling ahead in 8½
inch hole and had reached a depth of 1,748 metres. The programmed depth
of the well is 2,980 metres. ROC is being carried through the costs of
the well by the Chinese company which is farming in and managing the well

Onshore UK (ROC: 100%) Data acquisition
for the 50 sq km Bempton 3D seismic survey commenced on 17 May 2002 and

1. EXPLORATION 1.1 Drilling 1.1.1 East Gobi Basin, Mongolia (ROC: 50%, carried) At 9.00 am
on 16 May 2002, the Mogoi-1 exploration well was drilling ahead in 8½
inch hole and had reached a depth of 1,500 metres. The programmed depth
of the well is 2,980 metres. ROC is being carried through the costs of
the well by the Chinese company which is farming in and managing the well
operations. 1.2 Seismic 1.2.1 Onshore UK (ROC: 100%) The 50 sq km Bempton 3D Seismic Survey is scheduled to start in the next day or two in PEDL 30, Onshore UK.
2. PRODUCTION 2.1 Saltfleetby Gas Field (Roc: 100% & Operator) Due to temporary
mechanical constraints at the compression facility at the third party-owned
Theddlethorpe Gas Processing Plant, gas production from the Saltfleetby
Field has been reduced by approximately 30% to 20 MMSCFD natural flow.
ROC has been advised that the facility problem will be rectified during
June. This temporary reduction in production, which is facility, not reservoir,
related, coincides with the UK's seasonally low summer gas prices and
will be used as an opportunity to undertake annual maintenance and monitoring
work that would otherwise have been done during August/September.

EXPLORATION 1.1 Drilling 1.1.1 East Gobi Basin, Mongolia (ROC: 50%, carried) At 9.00 am on 8 May 2002, the Mogoi-1 exploration well was drilling ahead in 8-2/3 inch hole and had reached a depth of 1,449 metres. The programmed depth of the well is 2,980 metres. ROC is being carried through the costs of the well. 1.2 Seismic 1.2.1 South Humber Basin, Onshore UK (ROC: 100%) The 254 sq km Lincs Wold 3D survey in the South Humber Basin completed recording on 24 April 2002 and the data is now in Perth, Western Australia, for processing. This completes a total of 386 sq km of 3D seismic acquisition in this area, which is adjacent to ROC's Saltfleetby Gas Field, this year. The area is expected to provide the focus for an aggressive drilling programme onshore UK, starting early in 2003. 2. CORPORATE 2.1 Kyle Oil and Gas Field, UK North Sea (ROC: 12.5%) Documentation
of the sale of ROC's 12.5% interest in the Kyle Field was executed on
8 May 2002 (UK time). Completion of the sale is expected to take place
in June 2002.

AGM RESOLUTIONS Pursuant to Listing Rule 3.13.2, I advise that the following resolutions were put, and were all passed, at the Annual General Meeting of Roc Oil Company Limited held today. ·
"That the profit and loss account and balance sheet for the year
ended 31 December 2001 and the report of the directors and auditors thereon
as tabled at this meeting be received and adopted". · "That Mr A C Jolliffe, a director retiring by rotation in accordance with the constitution, and being eligible, be re-elected as a director of the Company." · "That, for the purposes of Listing Rule 6.23.4, the Company approves the following amendments to the terms of options ("Options") issued by the Company in July 1999 to its then shareholders: (a) deleting paragraph 2(l) of the Options' Terms and Conditions; and (b) inserting the following new paragraph 2(l): A. Subject to paragraph 2(l)(B), the Options are not transferable and if the Company is admitted to the official list of ASX no application will be made to the ASX for official quotation of the Options. B. If a registered holder of the Options is a nominee, custodian or trustee, the Options may be transferred to: (i) another nominee, custodian or trustee if there is no change in the beneficial ownership of the Options; or (ii) the
beneficial owner of the Options."
